Flat roof repair question

We have a flat roof over our family room that has leaked in the past. We have two estimates for repairs; neither recommends completely redoing the roof.

One estimate calls for adding a new layer of modified bitumen membrane ($2275). The other estimate calls for applying an asphalt bleed blocker ($3500). The second roofer says that a new roof would only cost $3625. There are some relatively minor differences in flashing recommendations which may also account for differences in the bids.

Assuming that there's no real reason to tear off the old roof, is there any reason to NOT pick with lower estimate. Both firms are rated highly on Angie's List.

Is the roof "really flat" or is there a slope to it?
If "flat", reroof. Remove the existing roofing. Install tapered sleepers on the existing roof sheathing. Resheath. Reroof. Now the water will drain and not pool. That would be one way to look at it.
